1. Services & Scope
HTTP UX/UI Agency Ltd provides user experience (UX) design, user interface (UI) design, and related design strategy services. The specific scope of any engagement is defined in a separate written project agreement or statement of work between you and the Agency. These Terms apply to all services unless superseded by explicit agreement in a signed contract.
Our services are limited to design strategy, research, and deliverable creation. We do not provide website development, application coding, brand identity development, copywriting, or other services explicitly excluded in project documentation.
2. Client Responsibilities & Obligations
As a client, you agree to:
- Provide accurate, complete project briefs and business information necessary for our work
- Make timely decisions and approvals during project phases to maintain agreed timelines
- Provide necessary access to stakeholders, team members, or user research participants as required
- Grant appropriate rights to intellectual property, content, and brand materials we need to use
- Maintain confidentiality regarding our methodologies, processes, and any preliminary work
- Pay invoices in accordance with agreed payment terms
3. Intellectual Property Rights
Ownership of Design Deliverables
Upon full payment of project fees, the Agency transfers ownership of final design deliverables to you. This includes wireframes, mockups, design specifications, and design system documentation created specifically for your project. You may use these deliverables for their intended purpose, including implementation by your development team.
Agency IP & Methodology
The Agency retains ownership of its design methodologies, processes, templates, reusable components, and pre-existing tools or frameworks used in your project. You are not granted the right to use our proprietary methodologies, design system templates, or internal tools for purposes beyond your project implementation.
Client Content
You retain all rights to content, branding, copy, and materials you provide to the Agency. By providing such materials, you represent that you have all necessary rights and authorisations to grant us a license to use them for your project.
Portfolio Use
We may request permission to feature your project in our portfolio or case studies. Such use is only permitted with your explicit written consent. You may withdraw this consent at any time, though we may retain historical references in archived materials.
4. Payment Terms & Fees
Project fees, payment schedules, and any additional charges are defined in your project agreement or invoice. Unless otherwise specified:
- A deposit (typically 40-50% of project fees) is required upon project commencement
- Remaining balance is due upon deliverable completion or according to milestone schedules
- Late payments may incur interest at 8% annually above the Bank of England base rate
- All fees are exclusive of Value Added Tax (VAT) where applicable
- Travel expenses and third-party service costs are billed separately at cost plus 10%
If you dispute an invoice, notify the Agency within 7 days. Disputes will be addressed, but payment obligations remain during resolution.
5. Confidentiality & Non-Disclosure
The Agency agrees to maintain strict confidentiality regarding all client project information. We do not disclose project details, specifications, business information, or preliminary work to any third party without your explicit written consent, except to:
- Employees and contractors who require access for project delivery under confidentiality agreements
- Service providers supporting our operations under confidentiality agreements
- Legal, law enforcement, or regulatory authorities when required by law
Similarly, you agree to maintain confidentiality regarding our proprietary methodologies, processes, and preliminary design concepts shared during your engagement.
6. Limitation of Liability & Disclaimers
Design Services Disclaimer
Design services are provided on a professional services basis. While we apply rigorous methodologies and best practices, design effectiveness depends on many factors beyond our control, including implementation quality, business execution, market conditions, and user behaviour. We do not guarantee specific outcomes such as user adoption, conversion rates, or revenue impact.

Liability Limitations

- Termination during discovery/strategy phases may result in fees for work completed plus reasonable wind-down costs
- Termination during design phases typically includes payment for completed design work and project management costs
- Clients remain responsible for payment obligations for services rendered prior to termination
Upon termination, we will transfer ownership of completed deliverables upon receipt of final payment.
11. Warranty Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. Remaining provisions continue in full force and effect.
14. Entire Agreement
These Terms, together with any signed project agreement, statement of work, or invoice, constitute the entire agreement between you and the Agency regarding your engagement. These Terms supersede all prior negotiations, representations, and agreements. No modification of these Terms is valid unless made in writing and signed by an authorised representative of the Agency.
